This Operating Agreement (the "Agreement") is made and entered into by and between Offerwall Inc. ("offerwallinc" or "we"), and you, ("you" or "Customer") the party submitting an application to use our services). The terms and conditions contained in this Agreement apply to your participation with offerwallinc.com ("Mediated Offerwall Program").

1. Introduction

Welcome to our mediated API service for offerwall networks. By using our API service, you agree to abide by these Terms and Conditions. These terms govern the access and usage of the API that connects your applications to third-party offers and rewards systems.

2. Definitions

  • API Service: The mediated API provided to clients for delivering offers and rewards.
  • Client: Any user, developer, or entity that integrates the API service into their platform or application.
  • Offerwall: A digital interface within an app or website where users complete offers for rewards.
  • User: The end-user interacting with the offerwall and completing offers.

3. API Access and Usage

  • API Keys: Clients must obtain an API key to access the service, which will be unique to each client.
  • API Endpoints: We provide specific API endpoints. Clients are required to follow usage guidelines for correct integration.
  • Client Responsibilities: Clients are responsible for integrating and using the API correctly and in compliance with applicable laws.
  • Documentation: Clients must refer to our API documentation for proper usage instructions.
  • Support and Maintenance: We offer customer support. Scheduled downtime or maintenance will be communicated as necessary.

4. Usage Restrictions

  • Authorized Use: The API should only be used for its intended purpose, and clients must not engage in unauthorized or illegal activities.
  • Prohibited Actions: Clients must not reverse-engineer, abuse, or overuse the API.
  • IP Rights: Clients are granted a limited license to use the API but do not own it or its intellectual property.
  • Compliance with Laws: Clients must comply with all relevant laws and regulations, including data protection laws like GDPR and CCPA.

5. Offers and Reward Management

  • Third-Party Offers: The API connects clients with third-party offers. We are not responsible for offer fulfillment or quality.
  • Offer Availability: Offers may vary in availability and are subject to change without notice.
  • Reward Fulfillment: Clients are responsible for fulfilling rewards unless otherwise stated.
  • Fraud Prevention: Clients must maintain security measures to prevent fraudulent activities.

6. Payments and Payouts

  • Reward Payout Process: Payments and rewards are processed according to the client’s terms, with a minimum payout threshold.
  • Fees: Clients may incur fees for using the API service, such as a percentage of the reward payment.
  • Payment Disputes: A process for resolving payment disputes, including required documentation from clients.

7. Client Data and Privacy

  • Data Collection: We collect user data as part of the service, including interactions with offers. Clients must comply with applicable data privacy regulations.
  • Data Sharing: Data may be shared with third-party advertisers or service providers in accordance with privacy policies.
  • Security: We implement appropriate security measures to protect transmitted data, but clients must also ensure security in their systems.
  • Data Retention: Client data is retained per privacy policies and may be deleted upon request.

8. Intellectual Property

  • Ownership: We retain full ownership of the API, its code, and all intellectual property.
  • License to Use: Clients are granted a non-transferable, limited license to use the API in accordance with these Terms.

9. Termination and Suspension

  • Termination by Us: We may suspend or terminate API access due to a breach of these Terms or illegal activity.
  • Termination by Client: Clients may terminate API access by providing written notice.
  • Effect of Termination: Termination results in the cessation of API access and may include finalizing payments or deleting data.

10. Limitation of Liability

  • No Liability for Third-Party Offers: We are not liable for issues arising from third-party offers.
  • Limited Liability: Our liability is limited to the direct damages incurred, excluding indirect or consequential damages.
  • Force Majeure: We are not liable for service disruptions or failures caused by events beyond our control.

11. Indemnification

Clients agree to indemnify and hold us harmless against any legal claims, losses, or damages resulting from their use of the API, including violations of third-party rights or applicable laws.

12. Dispute Resolution

  • Governing Law: These Terms are governed by the laws of [your jurisdiction].
  • Arbitration or Mediation: Disputes will be resolved through arbitration or mediation.
